CORPORATE RECORDS PROGRAM

THE PSM LAWYERS – CORPORATE RECORDS PROGRAM

As registered and records office for corporations, PSM Lawyers provide a comprehensive “gold standard” corporate records program for its clients. We pride ourselves in being among the top western Canadian law firms in this area. No one does this better than we do. We strive for total accuracy, redundancy, compliance, and peace of mind.

Our annual return services include:

  • Annual return processing with corporate registry
  • Minute book upkeep and ‘chain of custody’ control
  • No charge services for shareholder and directors for:
    • Notarization
    • Personal guarantee signing
    • Travel consent form signing
    • Answering routine inquiries from banks and accountants
    • No charge consults for non-corporate legal matters

We maintain corporations’ official address, receive and manage all formal communications (including service of legal proceedings and government notices), and ensure they are promptly reviewed and directed to the appropriate decision‑makers.

We store and upkeep corporate minute books in secure electronic and physical formats, ensuring records are current, accurate, and available for inspection when required.

Our team prepares and files annual returns and change notices as required by law, manages deadlines, and proactively coordinates director and shareholder resolutions needed to keep corporations in good standing.  We provide proactive reminders and governance support so directors can fulfill their duties with confidence while relying on clear, audit‑ready documentation.

In addition, PSM LLP provides secure electronic record‑keeping, access controls, and regular backups,

Our firm maintains corporate minute books to the highest standards with:

  • a physical copy stored securely, containing all original documents (articles, bylaws, registers, resolutions, notices) in chronological order for immediate inspection. A ‘chain of custody’ for a physical minute book proves its accuracy and completeness.
  • A parallel digital copy is stored on secure servers, scanned and organized for redundancy, for sharing with accountants, bankers and tax planners.
  • A second digital copy is stored within a cloud-based law society approved platform to ensure complete protection against a loss of vital records.

A high level of organization significantly reduces delay and risk in a future tax planned reorganization, sale, or refinancing. This means fewer last‑minute surprises in due diligence, lower professional clean‑up costs, and a smoother path to closing when important corporate events arise.

In most cases, reputable tax advisors will not implement high-level tax minimization strategies if the corporate records are not kept to a high standard.

Proactive, gold-standard record-keeping safeguards these opportunities, ensuring corporations remain positioned for seamless execution of tax planning and business opportunities.
